Terms of Service

These Terms of Service ("Terms") govern your access to and use of NxLayer's products, services, and website (collectively, "Services"). By creating an account, installing the NxLayer extension, or otherwise accessing our Services, you agree to be bound by these Terms and our Privacy Policy.

To use certain features of our Services, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your password and account
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activities under your account

You must be at least 13 years old to create an account. By registering, you represent that you meet this requirement.

Free Plan — The free tier provides limited access to NxLayer features at no cost. Free usage is subject to monthly limits and may be adjusted at our discretion.

Pro Plan — The Pro subscription is billed at $12.99 USD per month. Billing is processed through Paddle, our payment processor, at the start of each billing cycle.

Billing Cycle — Subscriptions renew automatically at the end of each billing period unless cancelled. You authorise NxLayer (through Paddle) to charge your payment method on a recurring basis.

Price Changes — We reserve the right to change subscription pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new price.

You may cancel your Pro subscription at any time through your account settings or by contacting [email protected]. Upon cancellation:

• Your Pro access continues until the end of the current billing period
• You will not be charged for the next billing cycle
• Your account reverts to the free plan at period end

We offer a 7-day refund window for new Pro subscriptions. If you are unsatisfied within 7 days of your first payment, contact us at [email protected] for a full refund.

Refunds are not available for renewal charges after the initial billing period, or for accounts found to have violated these Terms. Refunds are processed via Paddle within 5–10 business days.

The Pro plan offers "unlimited fair use," which means you can use NxLayer Copilot freely for your genuine personal and professional communication without hard monthly limits. Fair use is intended for normal human usage patterns.

The following are prohibited and may result in immediate account suspension:

• Automated or scripted usage of the extension
• Using NxLayer to generate bulk or spam content
• Sharing account credentials with multiple users
• Usage patterns inconsistent with individual human use

You agree not to use NxLayer Services to:

• Violate any applicable laws or regulations
• Generate, distribute, or promote harmful, abusive, or illegal content
• Harass, threaten, or harm any individual or group
• Impersonate another person or misrepresent your identity
• Interfere with or disrupt our services or servers
• Attempt to reverse engineer, decompile, or extract source code
• Use AI outputs to deceive in contexts where AI use is prohibited

We reserve the right to suspend or terminate accounts that violate this policy without notice or refund.

NxLayer and its licensors own all intellectual property rights in the Services, including software, branding, and content. These Terms do not grant you any right to use NxLayer's trademarks, logos, or proprietary technology beyond what is necessary to use the Services as intended.

You retain ownership of any content you input. By using NxLayer, you grant us a limited, non-exclusive licence to process your input solely for the purpose of delivering the requested AI output.

NxLayer uses AI to generate rewrite suggestions, explanations, and other outputs. You acknowledge that:

• AI outputs may be inaccurate, incomplete, or not suitable for all contexts
• You are responsible for reviewing and approving any AI-generated content before using it
• NxLayer does not guarantee that AI outputs are factually accurate
• AI outputs should not be relied upon as legal, medical, financial, or professional advice

NxLayer Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Services will be error-free, uninterrupted, or available at any particular time.

To the maximum extent permitted by law, NxLayer disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by applicable law, NxLayer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or loss of goodwill, arising from your use of or inability to use our Services.

Our total liability to you for any claims arising under these Terms shall not exceed the amount paid by you to NxLayer in the 12 months preceding the claim.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time. We will provide reasonable notice of significant changes. Continued use of the Services after modifications constitutes acceptance of the updated terms.

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of our Services shall be resolved through good-faith negotiation, and if unsuccessful, through binding arbitration.
