Terms of Service

These Terms of Service ("Terms") govern your access to and use of the products, services, browser extensions, and website at https://nxlayer.app provided by Spencer Chiang trading as NxLayer ("NxLayer", "we", "us", or "our") (collectively, "Services").

By creating an account, installing a NxLayer browser extension, or otherwise accessing our Services, you agree to be bound by these Terms and our Privacy Policy.

If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

To access certain features you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Keep your password secure and not share it with others
• Promptly notify us at [email protected] of any unauthorised access to your account
• Accept responsibility for all activity that occurs under your account

You must be at least 13 years old to register. By creating an account you confirm you meet this requirement.

Free Plan — The free tier provides limited access to NxLayer features at no cost. Free usage is subject to monthly request limits which may be adjusted at our discretion.

Pro Plan — The Pro subscription for NxLayer Copilot is billed at $12.99 USD per month. Shopee Product Finder may be offered as a separate subscription with monthly or yearly billing as shown on its product and pricing pages. Shopee Product Finder subscription fees cover the browser extension software, UI workflow, browser-side data organisation, local analysis features, image preview and download tools, maintenance, and support. All billing is handled by Paddle, our authorised merchant of record. Paddle processes your payment, issues receipts, and manages your subscription on our behalf.

Automatic Renewal — Your Pro subscription renews automatically at the end of each billing period. By subscribing, you authorise Paddle to charge your payment method on a recurring monthly basis until you cancel.

Cancellation — You may cancel at any time through your account settings or by contacting [email protected]. Cancellation takes effect at the end of your current billing period. You retain Pro access until that date and will not be charged for the next cycle. Your account then reverts to the free plan.

Price Changes — We reserve the right to change subscription pricing with at least 30 days' advance notice. Continued use of the Services after a price change takes effect constitutes your acceptance of the new price.

We offer a 14-day refund window for purchases. If you are unsatisfied within 14 days of your payment, contact [email protected] to request a refund.

Refund requests are handled in accordance with Paddle's refund policy. Approved refunds are processed through Paddle and may take 5–10 business days depending on the payment provider.

The Pro plan offers "unlimited fair use," meaning you may use NxLayer Copilot freely for genuine individual personal and professional communication without hard monthly caps.

Fair use is defined as normal human usage consistent with an individual person actively using the product in real time. The following are strictly prohibited and may result in account throttling, suspension, or termination:

• Automation and scripting — using bots, scripts, or automated tools to interact with NxLayer
• Bulk content generation — using NxLayer to produce large volumes of content in an automated or semi-automated manner
• Account sharing — sharing login credentials or providing access to multiple users under a single account
• Abusive excessive usage — usage volumes or patterns clearly inconsistent with individual human use

We reserve the right to throttle, suspend, or terminate accounts displaying patterns inconsistent with fair use, at our sole discretion.

You agree not to use NxLayer Services to:

• Violate any applicable laws or regulations
• Generate, distribute, or promote harmful, abusive, harassing, or illegal content
• Impersonate any person or misrepresent your identity or affiliation
• Interfere with or disrupt the integrity or performance of our Services or infrastructure
• Attempt to reverse engineer, decompile, or extract source code from any part of the Services
• Use AI-generated outputs to deceive in any context where AI use is prohibited or would be materially misleading
• Resell or sublicense access to the Services without written permission

We reserve the right to suspend or terminate accounts that violate this policy.

Shopee Product Finder is a browser extension software tool for affiliate product discovery, visible page scanning, product comparison, shortlist creation, image preview, image download, and related research workflows.

The product runs on Shopee Affiliate pages that you open and are authorised to view. Product scanning, filtering, ranking review, image preview, and shortlist workflows are performed locally in your own browser unless a feature clearly states otherwise. NxLayer cannot view, store, download, or sell your Shopee account data, backend content, scan results, promotion records, earnings data, or local shortlist data.

Shopee Product Finder subscription fees are charged for the extension software, UI workflow, local analysis features, maintenance, and support. NxLayer does not sell Shopee, Shopee Affiliate, participating seller, product, sales, commission, performance, confidential, or third-party platform data, and does not provide Shopee official databases, non-public data, backend access, earnings data, or third-party data services.

Shopee Product Finder is not affiliated with, endorsed by, sponsored by, or operated by Shopee, Shopee Affiliate, Shopee Taiwan, or any Shopee affiliate or subsidiary. NxLayer does not represent Shopee, speak on behalf of Shopee, bind Shopee, or provide Shopee official advice, approvals, guarantees, or commitments.

You are solely responsible for complying with Shopee Affiliate terms, Shopee platform policies, seller requirements, intellectual property rules, advertising rules, consumer protection rules, tax obligations, and all applicable laws when using the Services, creating content, publishing promotional materials, placing affiliate links, running campaigns, or making product selection decisions.

You must not use Shopee Product Finder for unauthorised data extraction, platform abuse, misleading advertising, impersonating Shopee, prohibited content, spam, clickbait, fraudulent activity, traffic hijacking, unauthorised use of Shopee or seller intellectual property, or any activity that violates Shopee Affiliate terms, Shopee platform rules, seller requirements, or applicable laws.

Shopee Product Finder may display or organise product listing information, commission rates, sales indicators, ranking signals, product images, and other offer-related data visible on the pages you access. Such information may be incomplete, delayed, inaccurate, removed, or changed without notice. Actual affiliate rules, commission conditions, payment eligibility, reconciliation records, platform decisions, and policy requirements are determined by Shopee and should be verified through Shopee official pages, statements, records, and latest announcements.

If you preview, download, edit, publish, or otherwise use product images, trademarks, brand names, product information, or other creative assets through the Services, you are responsible for ensuring that you have the necessary rights and permissions for your intended use and that your use complies with Shopee Affiliate terms, seller requirements, platform policies, and applicable laws.

NxLayer does not guarantee sales, conversion rates, ranking performance, product popularity, affiliate approval, campaign approval, affiliate eligibility, commission payment, payment timing, campaign performance, product availability, or affiliate income. All product selection, content creation, promotional methods, asset use, and business decisions remain your responsibility.

NxLayer uses third-party AI models to generate rewrite suggestions, explanations, translations, and other outputs. You acknowledge and agree that:

• AI-generated outputs may be inaccurate, incomplete, biased, or inappropriate for certain contexts
• You are solely responsible for reviewing, editing, and approving any AI-generated content before use or publication
• NxLayer does not guarantee the factual accuracy, appropriateness, or fitness for purpose of any AI output
• AI outputs must not be relied upon as legal, medical, financial, psychological, or other professional advice
• NxLayer is not liable for any harm, loss, or consequence arising from your use or reliance on AI-generated content

NxLayer and its licensors retain all intellectual property rights in the Services, including software, branding, design, and documentation. These Terms do not grant you any rights to use NxLayer's trademarks, logos, or proprietary technology beyond what is necessary to use the Services as intended.

You retain ownership of any content you input into the Services. By using NxLayer, you grant us a limited, non-exclusive, royalty-free licence to process your input solely to provide the requested functionality. We do not use your input content to train AI models.

NxLayer Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Services will be error-free, uninterrupted, secure, or available at all times.

To the maximum extent permitted by applicable law, NxLayer disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by applicable law, Spencer Chiang trading as NxLayer and any associated service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, loss of data, or loss of goodwill — arising from your use of or inability to use our Services.

Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the total amount paid by you to NxLayer in the 12 months immediately preceding the claim.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice where practicable. We will notify you of material changes to these Terms via email or a prominent notice on our website. Continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of Taiwan, without regard to conflict of law principles.
